Abu Dhabi sovereign wealth fund L'IMAD plans to acquire all of AD Ports Group, it said on Monday.L’IMAD, which owns 75.42% of AD Ports' shares through its wholly owned subsidiary ADQ, is looking to acquire the remaining share capital through a voluntary conditional cash offer of 6.25 dirhams per share, it said in a statement.The offer represents a 23% premium to AD Ports' closing share price of 5.10 dirhams on August 14, valuing the company at over 31bn dirhams ($8.6bn), according to Reuters' calculations.AD Ports shares were up nearly 15% by around 0745 GMT to 5.86 dirhams on Monday morning, inching closer to the offer price.L'IMAD is one of several Abu Dhabi wealth funds and chaired by Crown Prince Sheikh Khaled bin Mohamed bin Zayed al-Nahyan. It has an estimated $300bn in assets under management, according to research platform Global SWF.AD Ports, which operates ports in the United Arab Emirates and across the globe, said last week that in the second quarter it continued to boost alternative multimodal trade routes and operations across the UAE to weather the impact of the Iran war, which has led to the effective closure of the Strait of Hormuz.The offer announced on Monday will enable AD Ports "to pursue its long-term strategic objectives more effectively", including capital investment programmes and strategic acquisitions, ADQ said in a separate filing on Monday.L'IMAD expects AD Ports' to require potential equity raises, ADQ said, adding that recent transactions and resulting elevated financial leverage levels, are likely to constrain its capacity to distribute dividends to shareholders.L’IMAD said in the statement that "sufficient resources are available to ADQ to satisfy in full the cash consideration payable to AD Ports shareholders under the terms of the offer."It has appointed Rothschild as financial adviser for the tender offer.
