Directors of companies and their legal responsibilities

Legally speaking, the positions of chairmanship and membership of boards of joint stock companies such as banks, investment companies, insurance companies etc, come with its burdens and liabilities. The appointees may rejoice on the big titles for social purposes. But, as a matter of law and fact, they are sitting on “hot chairs”. The provisions of the company law give clear view about the (heat) of such responsibilities. As examples, the chairman and members of the board shall be liable towards the company, shareholders and third parties for all the acts of fraud, abuse of authority, violation of the law or the articles of association, and they shall also be liable for mismanagement due to acts of negligence.This shows that everyone has the right to take legal action on the occurrence of any of the above instances against the chairman and members of the board. They are exposed to legal proceedings from within or without the company. This indicates that the chairman and directors should perform their duties with utmost care, diligence and high standards of professionalism, failing which the company or any shareholder or other third party may take legal proceedings against them jointly or separately. Many shareholders are not aware of this legal right, could be due to their ignorance, or carelessness.The chairman and directors are jointly liable if the fault or negligent mistake occurs as a result of resolutions adopted unanimously. However, if the resolution has been adopted by majority only, the dissenting directors shall not be held liable provided that they have recorded their objections in the minutes of the meeting.This shows the importance of reporting all necessary details in the minutes. Directors who have dissenting opinions shall insist on entering and recording their dissenting views in the minutes, otherwise they share the responsibility with other directors regarding the outcome of that specific resolution. Moreover, it is important to mention, that mere absence of a director during the meeting wherein that specific resolution has been adopted will not absolve him from the liability unless he has proved that he was not aware of the resolution or that he was aware of it but was unable to show or explain his objection for any reason. This shows that the legal burden regarding resolutions of the board is following the director even during his absence at the time of that particular resolution. This, we believe, is very important because the intention of the legislature is to close the door for some directors who may seek an “alibi” when they know that certain issues will be discussed and they don’t want to involve themselves. A director should have a say in all the issues raised because he is responsible in all cases and mere absence will not bar absolve him of the liability.The general assembly shall specify who should take the legal proceedings, on behalf of the company. If the company is in liquidation, the liquidator shall assume the powers of the shareholders and initiate the legal proceedings on behalf of the company. A shareholder, by himself may initiate such proceedings if he thinks the company has failed to do so but he should prove the occurrence of particular damage to him as a shareholder, and such shareholder should take all steps to notify the management of his intention to initiate legal proceedings.An additional burden or misgiving, relates to the fact that neither the chairman nor the directors shall do or start any work that may cause competition to the company. The conflict-of-interest rule shall be observed carefully. This is to deprive the occurrence of all instances of malpractices, opportunism and importation. All brains and hands of all directors shall work towards one ultimate goal and direction, which is the interest of the company and shareholders. This attitude and goal shall always prevail over personal interests of the persons elected to serve the company. However, the general assembly may, in certain genuine circumstances, exempt a director from such limitation under certain conditions provided that this exemption shall not hamper or affect the interests of other shareholders.Dr AbdelGadir Warsama Ghalib is a corporate legal counsel.

QNB Capital wins three IFN awards, reinforcing its position in Islamic debt capital markets

QNB Capital, the investment banking arm of QNB Group, has won three Islamic Finance News (IFN) Deal of the Year 2025 awards, recognising its contribution to two landmark sukuk transactions in Qatar and Kuwait. The investment bank received the ‘IFN Qatar Deal of the Year 2025’ award for its role as a joint lead manager in Qatar’s $3bn sukuk issuance. It also received the ‘IFN Kuwait Deal of the Year 2025’ and ‘IFN Regulatory Deal of the Year 2025’ awards for its role as a joint lead manager in Kuwait International Bank’s $300mn Tier II sustainable sukuk. The recognition comes amid continued expansion in Islamic finance and growing activity in the global sukuk market. Global sukuk issuance reached $264.8bn in 2025, increasing by 12.7% from the previous year, according to S&P Global Ratings. This follows a 21% year-on-year increase in global Islamic finance assets in 2024 to $5.98tn, according to the ICD-LSEG Islamic Finance Development Report 2025. The Qatar transaction marked the country’s return to the international sukuk market after 13 years. The 10-year issuance attracted more than $12bn in global investor demand, demonstrating strong international confidence in Qatar’s credit profile and broad appetite for high-quality Sharia-compliant instruments. QNB Capital CEO Mira al-Attiyah said, “These awards recognise the importance and complexity of two landmark transactions and reflect the confidence that sovereign and financial institution clients place in QNB Capital. “By combining deep regional knowledge with strong execution and access to international investors, we continue to support our clients in achieving their strategic funding objectives while contributing to the development of deeper, more diversified Islamic capital markets.” Kuwait International Bank’s issuance represented Kuwait’s first Tier II sustainable sukuk. The transaction attracted an order book exceeding $2bn, reflecting strong global investor demand. The proceeds will be allocated to eligible sustainable projects under the bank’s Sustainable Finance Framework, while the issuance supports the diversification of its funding sources and strengthens its regulatory capital position. The three awards underline the breadth of QNB Capital’s capabilities across sovereign and financial institution transactions. They also demonstrate the firm’s ability to execute complex Sharia-compliant financing solutions that respond to evolving funding, regulatory and sustainability priorities across regional markets. The IFN Deal of the Year awards recognise the most notable transactions in the global Islamic finance industry, considering factors including innovation, structure, market impact and execution.

Adviser to PM meets Finnish foreign ministry official

His Excellency the Adviser to the Prime Minister and Official Spokesperson for the Ministry of Foreign Affairs Dr Majed bin Mohammed al-Ansari met Wednesday with the Under-Secretary of State for International Trade at the Ministry of Foreign Affairs of the Republic of Finland Jarno Syrjala, who is visiting the country.  During the meeting, they discussed co-operation relations between the two countries and ways to support and enhance them, particularly in fields of defence, security, technology, economy, and investment.  They also discussed the latest regional developments as well as several topics of mutual interest.

India seen as ‘strategic market’ for Qatari investors

Backed by its economic size and broad industrial and technological base, “India represents a strategic market for Qatari investors,” stated Nirmala Sitharaman, the South Asian nation’s Minister of Finance and Corporate Affairs.“In turn, the State of Qatar offers an advanced investment environment, a strategic location, and world-class infrastructure that Indian companies can use to reach the Gulf and regional markets,” the minister said during a luncheon hosted by the Qatari Businessmen Association (QBA) Tuesday in Doha.The minister and QBA officials also discussed ways to strengthen economic and investment relations between Qatar and India, and to broaden cooperation between the private sectors of both countries.It also explored investment opportunities and promising sectors that could become areas of partnership and cooperation in the coming years.The meeting addressed the development of economic relations between Qatar and India, ways to increase and diversify bilateral trade, and the promotion of mutual investment.It also encouraged Qatari and Indian companies to establish partnerships and joint ventures that make use of the considerable economic and investment potential of both countries.QBA board members Sheikh Nawaf bin Nasser al-Thani and Sherida Saad al-Kaabi attended the meeting, alongside QBA members Sheikh Mohammed bin Faisal al-Thani, Sheikh Mansour bin Jassim al-Thani, Ibrahim al-Muftah, Yousuf Ebrahim al-Mahmoud, Dr Jaffar Ali al-Sarraf, Dr Mohamed Altaf, and QBA general manager Sarah Abdallah.Sitharaman and her delegation outlined developments in the Indian economy and the opportunities available to investors. The discussions explored ways to facilitate cooperation between institutions and companies and to encourage investment and trade flows between the two sides.Sheikh Nawaf affirmed that Qatari-Indian relations are gaining momentum, supported by strong strategic ties and mutual economic and commercial interests. He noted that the coming period offers important opportunities for the private sector to play a greater role in developing these relations and turning them into long-term investments and projects.He added: “Qatar and India share well-established economic relations, but we believe there is still greater potential that the private sectors of both countries can tap into. We look forward to moving from traditional trade relations to long-term investment partnerships based on joint ventures and the transfer of technology and knowledge, creating added value for both economies.”The meeting highlighted a number of sectors that could serve as key pillars for future cooperation between Qatari and Indian companies. Among them were technology, the digital economy and artificial intelligence, advanced industries, financial services and fintech, healthcare and pharmaceuticals, transport and logistics, food security and food industries, renewable energy, infrastructure, and tourism and hospitality.Financial and banking services and fintech were a major focus of the discussions. The two sides explored opportunities to strengthen communication between financial institutions and investors in both countries and to develop financing and investment mechanisms that support joint projects and help companies expand into regional and international markets.The two sides also discussed opportunities for cooperation in transport, logistics, and supply chains, drawing on Qatar’s strategic location and advanced infrastructure and on India’s industrial and commercial capabilities, to boost trade and connect Gulf markets with Indian and Asian markets.The QBA affirmed its commitment to continued engagement with the Indian business community and to building direct partnerships between companies in both countries. It also expressed its intention to build on the current momentum in bilateral relations to increase investment and trade and to develop joint projects in priority sectors, serving the shared economic interests of Qatar and India.

Minister of Finance: AIIB can support Gulf connectivity and integration projects

His Excellency the Minister of Finance Ali bin Ahmed al-Kuwari said the Asian Infrastructure Investment Bank (AIIB) has the potential to support projects that enhance connectivity and integration among the Gulf states, stressing the importance of expanding the Bank’s contribution to development projects in Qatar and the region.  In a statement to Qatar News Agency (QNA), His Excellency noted that the 11th Annual Meeting of AIIB Board of Governors, held in Doha, set a record for attendance, bringing together more than 1,000 participants, including over 48 ministers from around the world, primarily representing finance and economy ministries.His Excellency emphasised that Qatar’s hosting of the Bank’s meeting reflects the State’s standing on the international stage and the confidence it enjoys, noting that Qatar has been a founding member of the Bank since 2015 and remains a key supporter.  He added that the Bank finances development projects, climate change initiatives, and other projects around the world, operating as a multilateral financial institution with members from Europe, Africa, Latin America, and North America.  The Minister of Finance said the high-level participation of officials and decision-makers reflects Qatar’s standing and the international confidence it enjoys. He affirmed that hosting major economic, financial, and sporting events reinforces Qatar’s position as an international destination capable of organizing and hosting major forums, further strengthening its presence on the global events map.

Under the auspices and in the presence of His Excellency Prime Minister and Minister of Foreign Affairs Sheikh Mohammed bin Abdulrahman bin Jassim Al-Thani, the 11th Annual Meeting of the Board of Governors of the Asian Infrastructure Investment Bank (AIIB) commenced Monday morning under the theme "Tomorrow's Infrastructure: Impact and Innovation." The meeting was attended by governors, senior officials, and partners from various countries around the world.The annual meeting will explore ways to enhance the response of multilateral institutions, governments, and the private sector to growing infrastructure needs, with a focus on mobilizing private capital, deepening cooperation between institutions and markets, and supporting sustainable infrastructure projects.

AIIB targets private capital to double annual lending to $20bn

A multilateral development bank aims to double its annual financing to $20bn by 2030 through private capital mobilisation and flexible local-currency instruments. Speaking at the 11th Annual Meeting of the Asian Infrastructure Investment Bank (AIIB) in Doha Monday, AIIB President Zou Jiayi noted that public resources alone cannot meet expanding global infrastructure requirements. Zou outlined the institution’s strategic agenda for its second decade, emphasising an operational pivot designed to bring development financing closer to client needs across member economies. She explained that scaling up development impact requires adapting the bank’s business model and financial instruments to make infrastructure projects more investable for institutional partners. Minister of Finance His Excellency Ali bin Ahmed al-Kuwari, serving as Chair of the AIIB Board of Governors, stated that practical cooperation remains essential to support economic resilience and growth across member states. “As a founding member of AIIB, Qatar remains committed to advancing multilateral cooperation. We recognise AIIB’s contribution in supporting sustainable infrastructure development and fostering cross-border connectivity across its members. “At a time when the world faces complex challenges, continued investment in sustainable infrastructure and practical cooperation is essential to support growth, resilience and shared prosperity,” the minister said. The AAA-rated institution has approved over $79bn in financing across more than 400 projects in 43 economies since beginning operations in 2016. Capitalised at $100bn, the bank currently counts 111 approved members worldwide as it expands its focus on cross-border physical and digital connectivity. Climate action continues to form a primary driver of the bank’s operational mandate, with regular climate-related financing exceeding institutional targets for four consecutive years. Zou pointed out that future project pipelines will focus heavily on renewable energy, low-carbon transport, resilient urban systems, and digital infrastructure to support long-term economic transformation. She further stated that international cooperation built on a partnership among equals is vital for advancing open regionalism and strengthening global supply chains. “Development depends on international cooperation. AIIB is built on a development partnership among equals,” Zou said. She added that AIIB would continue to work with members and partners to mobilise capital, strengthen connectivity and support infrastructure that delivers tangible benefits for people.

Doha hosts Asian Infrastructure Investment Bank annual meeting

Doha is set to host the 11th Annual Meeting of the Board of Governors of the Asian Infrastructure Investment Bank (AIIB) on Monday, marking the start of the bank's second decade.Convened under the theme "Tomorrow's Infrastructure: Impact and Innovation", participants will debate sustainable infrastructure, climate funding issues, public digital infrastructure, attracting infrastructure capital, gender-responsive infrastructure financing, cross-border connectivity and resilience building, as well as formal and protocol sessions addressing the Bank's strategic thrust and its future work agenda.His Excellency the Minister of Finance Ali bin Ahmed al-Kuwari was elected Chair of AIIB's Board of Governors and signed a memorandum of understanding confirming that Qatar would host the 11th annual meeting in June 2025, on the sidelines of the 10th annual meeting held in Beijing.The Doha session assumes special significance as it convenes at a time when the bank is going through a strategic shift across the gamut from its founding and reputation-building phase to a phase of expanding its impact and accelerating investment in sustainable infrastructure across its member countries.The event is expected to bring together member delegations, policymakers, business leaders, clients, partners, civil society organisations and stakeholders from around the globe to delve into AIIB's strategic direction, operational priorities and future agenda.This year's agenda is twofold: A closed official program for the Board of Governors and an open public program featuring keynote addresses, interactive sessions and thematic presentations.It focuses on sustainability, resilience, innovation and opportunities for international cooperation as the bank enters its second decade of operations, with discussions spanning sustainability standards for energy, transport and urban development projects, strengthening resilience to climate change, as well as regional connectivity projects.This includes Iraq's Development Road and vital corridors across Asia and the Middle East, and their role in supporting commerce.In addition, the sessions will address green financing and private capital mobiliSation by examining innovative and blended financing mechanisms and ways to strengthen private-sector participation to help close the infrastructure financing gap, along with digital transformation and AIIB's initiatives in "InfraTech", as well as its strategic direction, operational priorities and future agenda.The meeting will feature the "Act Green Together" initiative alongside the event, demonstrating the Qatar-AIIB commitment to advancing sustainable environmental practices and reducing the carbon footprint of international events.The 2025 Beijing Annual Meeting, held under the theme "Connecting for Development, Collaborating for Prosperity", marked AIIB's 10th anniversary and the approval of an updated Corporate Strategy through 2030.The bank also announced that, over its first decade, its investments had surpassed $60bn across more than 300 projects in 38 economies, with plans to deploy at least another $75bn by 2030.The Beijing-based AIIB is a multilateral development bank established through an international treaty. It currently has 111 approved members, is capitalised at $100bn and is AAA-rated by the major international credit rating agencies.The bank primarily intends to bridge the funding gap when it comes to infrastructure projects, in addition to reinforcing sustainable socioeconomic development in Asia and beyond, with an emphasis on supporting energy, water, transportation and urban development projects.

QBA, Hong Kong financial secretary explore new investment partnerships

The Qatari Businessmen Association (QBA) met with Paul Chan, Financial Secretary of the Hong Kong Special Administrative Region, to discuss ways to deepen economic and investment ties between Qatar’s private sector and Hong Kong. The meeting, held Sunday in Doha, focused on building new partnerships in several priority sectors, like financial services, healthcare, logistics, technology and innovation, and trade and investment.QBA board members Sheikh Hamad bin Faisal al-Thani and Sheikh Nawaf bin Nasser al-Thani attended the meeting, in the presence of QBA members Sheikh Mansoor bin Jassim al-Thani, Abdulsalam Abu Issa, Maqbool Habeeb Khalfan, Dr Jaafar Ali al-Sarraf, Yousef Ebrahim al-Mahmoud, and Dr Mohammed Altaf, as well as QBA general manager Sarah Abdallah.Chan described the meeting as an important opportunity to present ways of expanding ties between the two business communities, encourage investment in both directions, and connect Qatari companies and investors with their Hong Kong counterparts. He said the goal is to move economic relations towards a more diverse stage built on partnerships and long-term investment.He also outlined what Hong Kong offers as an international financial and trade hub, stressing the value of closer connection between the two business communities and to identify areas where cooperation and joint investment could grow.Citing Qatar and Hong Kong’s well-developed financial and investment institutions, Sheikh Hamad noted that there is significant room for cooperation between banks, financial institutions, asset managers, and investment funds in the coming period.He said, “We are looking to build practical, long-term partnerships between Qatar’s private sector and Hong Kong’s business community. We see particularly promising opportunities in financial services, investment, healthcare, logistics and technology. These are sectors where we can combine the expertise and strengths of both sides and open new markets for companies and investors.”The two sides discussed strengthening links between financial institutions in Qatar and Hong Kong, developing partnerships in asset management, investment and financing, and drawing on Hong Kong's expertise and financial networks to help Qatari companies and investors expand into Asian markets.Sheikh Hamad added that QBA plans to visit Hong Kong to explore new investment and financing tools that could help mobilise capital and channel it into productive sectors and high-value projects. The delegation will also explore opportunities Qatar offers to Asian companies and financial institutions seeking to grow their presence in the region.Sheikh Nawaf said QBA members are interested in several sectors that support Qatar National Vision 2030, including healthcare, which he described as one of the most promising areas for long-term investment. He highlighted the importance of partnerships that bring together capital, operational expertise and technology to develop healthcare, financial and logistics services, and enable the transfer of knowledge and modern technologies.He said, “Hong Kong can serve as an important gateway for Qatari investors into China and the wider Asian markets, while Qatar offers an attractive base for Asian companies looking to reach the Gulf and the broader region.“That is why it is important to move beyond dialogue and exchange visits toward identifying concrete investment opportunities and joint projects that can actually be carried out.”QBA members also noted that linking Qatar’s logistics capabilities with Hong Kong’s trade and business networks could create significant opportunities for companies on both sides and help open new trade and investment corridors between the Gulf and Asia.QBA stressed the importance of closer economic relations with Hong Kong as Asian markets play a significant role in global trade and investment. Expanding cooperation between the two business communities could open new horizons for companies and investors and support more diverse and sustainable economic ties.Both sides also agreed to coordinate and arrange direct meetings between companies, investors, and relevant institutions in the priority sectors, with the aim of turning the opportunities discussed into concrete partnerships and projects.

Qatar Chamber participated in the ‘2nd Azerbaijan International Investment Forum, which concluded Saturday in in Baku, under the theme ‘Rebuilding Trust in a Fragmented World: The South Caucasus as a Hub for Global Connectivity and Investment Stability’.Qatar Chamber second chairman Rashid bin Hamad al-Athba and Qatar Chamber board member Mohamed bin Mahdi al-Ahbabi represented the country, in the presence of government officials, investors, financial institutions, and international companies.On the sidelines of the forum, the Qatar Chamber held meetings with the National Confederation of Entrepreneurs (Employers) Organisations of the Republic of Azerbaijan (ASK), in the presence of its president, Mammad Musayev, and secretary general Zia Hajli.Also attending the meeting are the Export and Investment Promotion Agency of the Republic of Azerbaijan (AZPROMO), represented by its executive director, Yusif Abdullayev; and the Small and Medium Business Development Agency of the Republic of Azerbaijan (KOBİA), represented by its chairman of the Management Board, Orkhan Mammadov.The meetings discussed strengthening economic and trade co-operation, exploring investment opportunities in sectors, including agriculture, industry and banking, and promoting Azerbaijani products in the Qatari market, as well as identifying new areas of co-operation.The delegation stressed the importance of the Qatar-Azerbaijan Joint Business Council in fostering co-operation among businesspeople from both sides, increasing reciprocal business visits, and strengthening partnerships between the private sectors of both countries.During the meeting with KOBIA, Mammadov said the joint business council represents an important platform for business co-operation, noting that its next meeting will be held in Azerbaijan.On the sidelines of the forum, the Qatar Chamber met with Mohamed Nidal al-Shaar, Minister of Economy and Industry of the Syrian Arab Republic. The two sides discussed ways to strengthen private-sector relations and attract Qatari investments to Syria across a number of key sectors.Al-Athba said Qatar Chamber’s participation reflects its commitment to strengthening engagement with the Azerbaijani business community and exploring co-operation and investment opportunities.He highlighted the importance of continued communication and reciprocal visits in supporting trade and investment relations between the two countries.Al-Ahbabi said the forum provided an important international platform to discuss the future of investment and economic partnerships and explore economic and investment developments in Azerbaijan and the region.He noted that the chamber’s participation provided an opportunity to engage with Azerbaijani institutions and companies and identify investment opportunities that could lead to new private-sector partnerships.The forum addressed a wide range of issues related to investment, economic growth, and project development, including global economic transformations, supply chains, trade routes, energy, the Middle Corridor, artificial intelligence and digital transformation, green transition, agriculture, infrastructure, tourism, and human capital.The event also aims to attract investment, strengthen economic partnerships, develop joint projects, and turn initiatives into tangible co-operation opportunities.
